Welcome to Refleckto! These Terms and Conditions (“Terms”) govern your access to and use of Refleckto, operated by Dhage Industries Private Limited. They are specifically aligned with the laws of India for users residing in India. Please read them carefully before using our services. Your continued use of Refleckto constitutes your express acceptance of these Terms. 

1. Who We Are 

“Refleckto” is the brand name for Dhage Industries Private Limited (“Refleckto”, “we”, “our”, or “us”), a company duly incorporated under the Companies Act, 2013, with its registered office at H. NO. 198/4, AT Warkhed, Post. Hadgaon, Pathri, Parbhani, Maharashtra, 431506. We offer AI-powered educational tools and content through our official website, www.refleckto.com, and any associated mobile applications, APIs, or other digital platforms (collectively, “Platform”). 

2. Agreement Overview and Electronic Contracts 

By accessing, browsing, or using our Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Subscription Terms. If you do not agree to these Terms, or any part thereof, you must immediately cease all use of Refleckto. 

You understand and agree that by clicking “Accept” or by otherwise using our services, you are entering into a legally binding electronic contract with Refleckto. This electronic contract is valid and enforceable under the Indian Contract Act, 1872, and the Information Technology Act, 2000 (IT Act), including all amendments thereto. 

3. Eligibility 

  • Age Requirement: You must be at least 18 years of age to enter into a binding agreement under the Indian Contract Act, 1872. By using Refleckto, you represent and warrant that you are at least 18 years old. 
  • Minor Usage: If you are under 18 years of age, you may use Refleckto only with the express consent, supervision, and active involvement of a parent or legal guardian. The parent or guardian agrees to be bound by these Terms and is responsible for all activities conducted by the minor on the Platform, including any financial obligations. We reserve the right to terminate access if we discover a user is under 18 without appropriate parental/guardian supervision. 
  • Legal Capacity: You confirm that you have the legal capacity to enter into this agreement and comply with all its terms. 

4. What We Offer 

Refleckto provides: 

  • Comprehensive educational materials, interactive quizzes, and AI Chat mentorship designed for learning enhancement across various subjects. 
  • Access to content and features is granted upon successful registration and, where applicable, the purchase of an introductory offer or a recurring subscription plan. 
  • Additional paid features, premium content, or supplementary services may be offered from time to time, subject to separate terms and pricing. 

5. AI Chat Mentor – Specific Disclaimers and Usage 

  • Educational Use Only: The AI Chat is designed purely for educational and supplementary learning purposes. It is intended to assist with understanding concepts and provide guidance. 
  • No Professional Advice: The AI Chat does not provide, and should not be construed as, professional, financial, medical, legal, or any other form of regulated or expert advice. You must not rely on any AI-generated output as a substitute for professional consultation or advice. Refleckto expressly disclaims all liability for any decisions made or actions taken based on AI Chat outputs. 
  • User Input and AI Output Rights:  
  • You retain all ownership rights to the textual and other content you input into the AI Chat (“User Input”). 
  • For the AI-generated output resulting from your User Input (“AI Output”), we grant you a non-exclusive, worldwide, royalty-free license to use, reproduce, and modify the AI Output for your personal, non-commercial educational purposes, to the extent permitted by applicable law, including the Indian Copyright Act, 1957. 
  • You acknowledge that AI Output may not be unique and that other users may generate similar or identical content. 
  • AI Training Data: You understand that your User Input and interactions with the AI Chat may be used by Refleckto to improve and train our AI models. However, we undertake to anonymize and aggregate such data to the extent feasible and compliant with data protection laws. You may opt-out of the use of your User Input for AI training purposes by contacting our support team at support@refleckto.com. Such opt-out will not affect the AI Output generated for you. 

6. Subscription Plans and Pricing 

  • Introductory Offers: These are promotional, short-term trial periods that automatically convert to a full paid subscription plan at the end of the trial, unless you cancel at least 24 hours prior to the trial expiration. The terms of conversion, including the applicable subscription plan and price, will be clearly communicated during the introductory offer sign-up. 
  • Subscription Plans: All subscription plans are set to automatically renew at the end of each billing cycle (e.g., monthly, annually) unless canceled by you at least 24 hours before the commencement of the next billing cycle.  
  • Pricing: Prices for subscription plans may vary based on region, promotional offers, and the features included. Refleckto reserves the right to change its subscription prices at any time. While we endeavor to provide reasonable notice of price changes, this may not always be feasible for individual users, especially for minor adjustments. For significant price changes, we will notify you reasonably in advance (e.g., via email or in-app notification). Your continued use after a price change constitutes your acceptance of the new price. 
  • Additional Features: These may be offered as one-time purchases or recurring add-ons to your existing subscription. Specific terms and pricing for such features will be displayed at the point of purchase. 

7. Billing and Cancellation 

  • Payment Processing: Payments for users residing in India are processed exclusively via Rupay, Visa, Mastercard, or UPI-enabled payment gateways, ensuring compliance with Reserve Bank of India (RBI) guidelines and other relevant Indian financial regulations. You authorize us or our third-party payment processor to charge your selected payment method for all applicable fees and taxes. 
  • Payment Authorization: By providing1 your payment information,2 you represent and warrant that you are authorized to use the designated payment method. 
  • Cancellation Process: You can cancel your subscription at any time through your account settings on the Platform. Instructions for cancellation will be clearly provided within your account dashboard or you can write us at support@refleckto.com
  • Refund Policy for Indian Users:  
  • Refunds are generally available to Indian users within 24 hours of the initial purchase or subscription renewal, provided that no premium or paid content was accessed, downloaded, or utilized during this 24-hour period. 
  • After this 24-hour window, or if any premium content has been accessed, refunds will generally not be provided, except in cases of service failure attributable to Refleckto or as explicitly required by Indian consumer protection laws. 
  • To request a refund, please contact support@refleckto.com within the eligible window. All refund decisions will be at the sole discretion of Refleckto, in compliance with applicable laws. 
  • Chargebacks: In case of any payment disputes or chargebacks initiated by you, Refleckto reserves the right to suspend or terminate your account and access to services until the dispute is resolved. 

8. Data Protection and Privacy 

Refleckto is committed to protecting your personal data in compliance with Indian law. 

  • Legal Framework: We adhere to the Information Technology (Reasonable Security Practices and3 Procedures and Sensitive Personal Data or Information) Rules, 2011 under the Information Technology Act, 2000. We further anticipate and commit to adhering to the principles and obligations outlined in the Digital Personal Data Protection Act, 2023 (DPDP Act, 2023) upon its full implementation. 
  • Data Principal Rights: In accordance with the DPDP Act, 2023, you, as the “Data Principal,” have the right to:  
  • Access information about your personal data. 
  • Rectify inaccurate or incomplete personal data. 
  • Erase or delete your personal data (right to be forgotten). 
  • Nominate another person to exercise your rights in case of death or incapacity. 
  • Complain to the Data Protection Board of India regarding any breach of your rights. 
  • Exercising Rights: To exercise any of your data protection rights, please email us at support@refleckto.com. We will respond to your request within a reasonable timeframe as stipulated by law. 
  • Data Security: We implement reasonable security practices and procedures, as defined under Indian law, to protect your personal data from unauthorized access, loss, misuse, or disclosure. However, no electronic transmission or storage is entirely secure, and we cannot guarantee absolute security. 
  • Privacy Policy: Our detailed Privacy Policy, available on our Platform, outlines how we collect, use, store, share, and protect your personal data. By using Refleckto, you consent to our data practices as described in the Privacy Policy. 

9. Intellectual Property Rights 

  • Refleckto Content: All content, materials, features, and functionality available on Refleckto, including but not limited to text, graphics, logos, images, audio clips, video clips, software, and the compilation thereof (“Refleckto Content”), are the exclusive property of Dhage Industries Private Limited or its licensors and are protected under Indian and international copyright, trademark, patent, trade secret, and other intellectual property laws
  • Limited License to Users: Subject to these Terms, Refleckto grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Refleckto Content for your personal, non-commercial educational purposes. 
  • Restrictions on Use: You may not:  
  • Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the Refleckto Content, except as incidentally necessary for your personal use. 
  • Use any Refleckto Content for any commercial purpose without our express prior written permission. 
  • Decompile, reverse engineer, or disassemble any software or other products or processes accessible through Refleckto. 
  • Remove any copyright, trademark, or other proprietary rights notices from copies of Refleckto Content. 
  • User-Generated Content (Excluding AI Chat Input/Output): If you submit any content (other than AI Chat input/output) to Refleckto, you grant Refleckto a worldwide, royalty-free, perpetual,4 irrevocable, non-exclusive, transferable license to use, reproduce, modify, adapt,5 publish, translate, create derivative works from, distribute, perform, and display such content in any media. You represent and warrant that you own or control all rights to such content and that its use by Refleckto will not infringe upon the rights of any third party. 

10. Third-Party Links and Advertisements 

  • We may provide links to third-party websites, applications, or services, and display advertisements from third parties. 
  • Your use of any third-party sites or engagement with third-party advertisements is solely at your own risk. Refleckto has no control over, and assumes no6 responsibility for, the content, privacy policies, or practices of any third-party websites or services. We do not endorse or make any representations about them. 
  • Refleckto expressly disclaims all responsibility and liability for any loss or damage incurred as a result of your dealings with any third-party offerings. 

11. Compliance with Indian Law 

  • Refleckto services, when accessed and used from India, are governed by and construed in accordance with the laws of India
  • Users are solely responsible for ensuring their use of Refleckto complies with all applicable local, state, and national laws and regulations, including but not limited to those pertaining to online content, privacy, and electronic transactions. 
  • Intermediary Guidelines: Refleckto7 operates as an “intermediary” as defined under the Information Technology Act, 2000, and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. We commit to exercising due diligence as required by these rules, including the prompt removal of unlawful content upon receiving actual knowledge, and publishing rules and regulations, privacy policy, and user agreement in a clear and accessible manner. 

12. Copyright Infringement (DMCA equivalent for India) 

  • Refleckto respects the intellectual property rights of others. If you believe that your copyright or other intellectual property rights have been infringed by any content on our Platform, please notify us immediately by emailing support@refleckto.com with the following information as per Indian legal requirements:  
  • A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed. 
  • Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site. 
  • Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material. 
  • Information reasonably sufficient to permit us to contact the complaining party, such as an address, telephone number, and, if available, an electronic mail address. 
  • A statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law. 
  • A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed. 
  • Refleckto reserves the right to suspend or terminate the accounts of users who are found to be repeat infringers of intellectual property rights. 

13. User Responsibilities and Prohibited Activities 

You agree to use Refleckto lawfully and ethically. You shall not: 

  • Violate any applicable Indian laws or regulations, including but not limited to the Indian Penal Code, 1860, and the Information Technology Act, 2000, and its associated rules (e.g., in relation to obscene content, defamation, incitement to violence,9 or misrepresentation). 
  • Engage in any activity that is harmful, harassing, defamatory, obscene, pornographic, pedophilic, libelous, invasive of another’s privacy, hateful, or racially or ethnically objectionable, or that promotes money laundering or gambling.10 
  • Transmit any content that is misleading, false, or untrue and is intended to cause annoyance, inconvenience, danger, obstruction, insult, injury, criminal intimidation,11 enmity, hatred, or ill will. 
  • Impersonate any person or entity, or falsely state or otherwise misrepresent12 your affiliation with a person or entity. 
  • Interfere with or disrupt the integrity or performance of the Platform or the data contained therein. 
  • Attempt to gain unauthorized access to Refleckto’s systems or networks. 
  • Use any automated system, including “robots,” “spiders,” or “offline readers,” to access the Platform in a manner that sends more request messages to Refleckto’s servers than a human can reasonably produce in the same period by using a conventional web browser. 
  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of Refleckto. 
  • Use Refleckto for any purpose competitive with Refleckto’s business. 
  • Transmit any unsolicited or unauthorized advertising, promotional materials,13 “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation. 
  • Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful. 
  • Collect or harvest any personally identifiable information from the Platform without explicit permission. 

Refleckto reserves the right to immediately suspend or terminate your access to the services if you violate any of these responsibilities, without prior notice. 

14. Disclaimers 

  • Educational Tools Only: Refleckto provides educational tools and resources. While we strive for accuracy and quality, individual learning outcomes and results may vary significantly. 
  • No Guarantees: We make no guarantees, representations, or warranties regarding specific academic outcomes, job placements, or success levels achieved through the use of Refleckto.14 
  • “As Is” and “As Available”: The Refleckto Platform and all its content and services are provided on an “as is” and “as available” basis, without any warranties15 of any kind, either express or implied. 
  • No Warranty of Uninterrupted Service: Refleckto does not warrant that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components. 
  • Disclaimer of Implied Warranties: To the fullest extent16 permissible under Indian law, Refleckto disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular17 purpose, non-infringement, and title. 
  • Exclusion of Consequential Damages: Refleckto shall not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages, including loss of profits, data, or goodwill, arising out of or in connection with your use or inability to use Refleckto, even if Refleckto has been advised of the possibility of such damages. 

15. Limitation of Liability 

  • To the maximum extent permitted by applicable Indian law, Refleckto’s total liability to you for any and all claims arising out of or relating to these Terms or your use of Refleckto, whether in contract, tort (including negligence), statutory duty, or otherwise, shall be limited to the amount actually paid by you to Refleckto for the specific service or subscription directly giving rise to the claim in the18 twelve (12) months immediately preceding the event giving rise19 to the liability. 
  • Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable Indian law. 
  • Jurisdictional Exceptions: The limitations and exclusions of liability set forth in this section apply to the fullest extent permitted by law. However, certain jurisdictions in India may not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

16. Indian Consumer Rights and Grievance Redressal 

  • Consumer Protection Act, 2019: As a consumer, you are entitled to rights20 and protections under the Consumer Protection Act, 2019, including but not limited to:21  
  • The right to be protected against the marketing of goods and services which are hazardous to life and property. 
  • The right to be informed about the quality, quantity, potency,22 purity, standard, and price of goods or services. 
  • The right to be assured access to a variety of goods and services at competitive prices. 
  • The right to seek redressal against unfair trade practices or restrictive trade practices.

  • The Grievance Officer will acknowledge receipt of your complaint within 24 hours and endeavor to resolve it within 15 days from the date of receipt, as per the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. 

17. Dispute Resolution 

We believe most user concerns can be resolved quickly and to your satisfaction by contacting our customer support. In the unlikely event that Refleckto is unable to resolve a complaint to your satisfaction, we have established the following dispute resolution process, in accordance with Indian law: 

  • Informal Resolution (Mandatory): Before initiating any formal legal proceedings, both parties agree to first attempt to resolve any dispute, controversy, or claim arising out of or relating to these Terms or your use of Refleckto (“Dispute”) amicably through good faith negotiations. This informal resolution period shall last for a minimum of 40 days from the date one party notifies the other in writing of the Dispute. 
  • Arbitration (Mandatory): If a Dispute remains unresolved after the 40-day informal resolution period, it shall be referred to and finally resolved by binding arbitration under the provisions of the Arbitration and Conciliation Act, 1996, as amended.  
  • Arbitrator: The arbitration shall be conducted by a sole arbitrator mutually appointed by both parties. If the parties fail to agree on an arbitrator within 15 days after the informal resolution period, the arbitrator shall be appointed in accordance with the provisions of the Arbitration and Conciliation Act, 1996. 
  • Language: The language23 of the arbitration shall be English
  • Venue: The seat and venue of the arbitration shall be New Delhi, India
  • Award: The arbitral award shall be final and binding on both parties and may be enforced in any court of competent jurisdiction. 
  • Confidentiality: All aspects of the arbitration proceedings, including the award, shall be kept strictly confidential by the parties, except as required by law. 
  • Waiver of Class Action and Jury Trial: You and Refleckto agree that any arbitration shall24 be limited to the Dispute between Refleckto and you individually. To the fullest extent permitted by Indian law, you and Refleckto agree that there shall be no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures, and no arbitration25 shall be joined with any other arbitration. You also agree to waive your right to a jury trial. 

18. Changes to Terms 

Refleckto reserves the right to modify or update these Terms at any time, at its sole discretion. Any changes will be effective immediately upon posting the revised Terms on the Platform. We will indicate the “Last Updated” date at the top of these Terms. While we may provide notice of significant changes (e.g., via email or prominent notice on the Platform), it is your responsibility to review these Terms periodically for updates. Your continued use of Refleckto after the posting of any revised Terms signifies your acceptance of those changes. If you do not agree to the revised Terms, you must stop using Refleckto. 

19. Governing Law and Jurisdiction 

These Terms and your use of Refleckto shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Subject to the arbitration clause (Section 17), the courts in New Delhi, India, shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms. 

20. Miscellaneous Provisions 

  • Entire Agreement: These Terms, together with our Privacy26 Policy and Subscription Terms, constitute the entire agreement between you and Refleckto regarding your use of the Platform, superseding any prior agreements. 
  • Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired thereby. 
  • Waiver: No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Refleckto to assert a right27 or provision under these Terms shall not constitute a waiver of such right or provision.28 
  • Force Majeure: Refleckto shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes or shortages of transportation facilities, fuel, energy, labor, or materials. 
  • Assignment: You may not assign or transfer your rights or obligations under these Terms without Refleckto’s prior written consent. Refleckto may assign or transfer its rights and obligations under these Terms at its sole discretion.
